Press Release – April 26 2016 – GTA Provides Update on Private Placement

(Burlington, April 26, 2016) GTA Resources and Mining Inc. (TSXV “GTA”) announces that further to the financing previously announced in a press release on April 11, 2016, it intends to raise up to an additional $400,000 in flow-through and hard dollar financing by completing a non brokered private placement. The use of proceeds from the flow-through financing will be used to carry out field work on GTA’s northern Ontario properties. The proceeds from the hard dollar financing will be used for working capital and other corporate purposes.

Financing – The proposed financing will consist of a private placement of up to 8,000,000 units at a price of $0.05 per unit, for gross proceeds of up to $ 400,000. Each flow-through unit will consist of one flow through eligible common share and one common share purchase warrant. Each warrant will entitle the holder thereof to purchase one common share of the Company at an exercise price of $0.06 for a period of one year following the closing of the offering. Each hard dollar unit will consist of one common share and one common share purchase warrant. Each warrant will entitle the holder to purchase one common share of the Company at an exercise price of $0.05 for a period of one year following the closing of the offering.
